Incorporation of an LLP in Great Britain
Getting started
Procedure +
The path from first call to live partnership, in order:
1. Initial consultation and engagement — 2. Settlement of the invoice — 3. For remote setups, notarisation of the power of attorney on your side — 4. We prepare the registration documents — 5. Signing before the notary — 6. The LLP is valid on the register immediately.
Duration +
1–3 working days — Companies House is one of the fastest registries in the world, and the whole run happens remotely, with no trip to Britain required.
Remote incorporation +
Fully remote on a notarised power of attorney: we draft it for your chosen services, you certify it (apostilled where your country demands full legalisation), we verify, and you courier us the physical original. Great Britain is a Hague Apostille Convention member — one stamp, recognised worldwide.
Required information +
Three things get the file moving: three name options for the LLP plus a contact email; the names, addresses and emails of all members; and a short description of the activity. That's the whole intake form.
Documents +
Passport scans of every individual involved, including the beneficial owner; the power of attorney for remote registration; and certified corporate documents where a member is itself a foreign company.

Facts about UK LLPs
Know before you register
Taxes +
An LLP trading with a view to profit is treated for tax purposes as a partnership — a flow-through with no corporate income tax at all. Members owe UK tax only where Britain has a claim: UK residents conducting the business inside Great Britain. Foreign members earning abroad through the LLP owe this jurisdiction nothing.
Double tax treaties +
The United Kingdom holds one of the largest treaty networks on the planet — bilateral conventions with roughly 130 states and territories: the US, China, Japan, Germany, France, nearly all of the EU with Romania included, the Gulf, most of Asia and Africa, and every Crown dependency and overseas territory from Jersey to the BVI. Whether a flow-through LLP can claim relief depends on the members' own residence — five minutes on the free call settles it.
Accounting & filings +
UK LLPs keep accounting records — money in and out, assets and liabilities — and file accounts at Companies House under the Companies Act 2006, within 9 months of the period's end. The reference date defaults to the incorporation anniversary's month-end, movable by member agreement. A real obligation in a real jurisdiction; our accounting package carries it for you, and it's precisely this compliance that keeps the LLP's reputation clean.
Substance, residency & transparency +
The LLP needs a British address — publicly visible (PO boxes tolerated only with a physical address and postcode behind them), which we provide. No residency requirements; the structural minimum is two registered members, including a publicly disclosed PSC — the person of significant control. Stated plainly because you'd find it anyway: the UK runs open registers. Nominees are legal and available, and we build them in where the structure calls for it.
FAQ
About UK LLP registration
How much does it cost to set up an LLP in the UK? +
Refreshingly little for the flag: a complete setup — LLP, bank account and all the legal services — stays under €2,000. Describe your project and the detailed quote comes back within one business day.
What's the difference between an LLP and an LP in Great Britain? +
The LLP caps every member's exposure at their investment — nothing more, where an LP's general partner stands behind the debts personally. The trade: a little more visibility on the registers — though nominee services remain perfectly legal and available. Cleaner reputation, same flow-through economics.
How much tax does a Great Britain LLP pay? +
The LLP itself — none; it isn't a taxable vehicle. Members are taxed only on income generated in Great Britain. Income earned outside the UK by members outside the UK passes through free of British tax — what home jurisdictions do with it is a separate conversation, and one we're happy to have.
